TERMS OF USE OF CENTAUR GLOBAL LTD OR MAXNET MEDIA LTD WEBSITES

By using and/or visiting any of the Centaur Global/Maxnet Media Websites or by purchasing a subscription or taking up a managed account, You agree to be bound by these terms of use.

Please read these "Terms of Use" carefully before accepting them. Once You have accepted these Terms of Use please print these Terms of Use and store them, along with all confirmation emails, additional terms, transaction data and payment methods relevant to Your use of the Centaur/Maxnet Websites (as defined below). These Terms of Use are subject to change, as set out below.

If You do not agree to accept and be bound by these Terms of Use please do not open an account with Centaur Global or Maxnet Media Limited. Your continued use of this Website will constitute acceptance of the Terms of Use.

1. PARTIES

By opening an account with Centaur GlobalMaxnet Media Limited or using and/or visiting any of the Websites, you are entering into and agree to comply with these Terms of Use. These Terms of Use shall be agreed between You and the following party or parties, in relation to your use of the sections of each of the Centaur/Maxnet Websites set out below:

  • with Centaur Global Limited if You are using:

  • any section of the Websites not otherwise listed under Maxnet Media Limited below;

  • With Maxnet Media Limited if You are using:
  • any section of the Maxnetreturns website.

For the avoidance of doubt, where you use more than one of the sections of the Websites listed above you may enter into these Terms of Use with both Centaur Global Limited and/or Maxnet Media Limited.

References in the Terms of Use to "us", "our" or "we" are references to the relevant company, who You are contracting with, as specified above.

For the avoidance of doubt, each and all of the Centaur/Maxnet Websites are governed by these Terms of Use, and You should ensure at all times that Your use of the Websites is in accordance with these Terms of Use.

2. AMENDMENTS

The Terms of Use may change from time to time and You should review this page on a regular basis. We will endeavour to ensure that such modification will not become effective until 14 (fourteen) days after publication of the amended Terms of Use on this Website. However, this may not always be possible. If any modification is unacceptable to You, Your only recourse is to cease using the Centaur/Maxnet Websites and close Your Account as described in paragraph 17. Your continued use of any Centaur/Maxnet Website following the date on which an amendment becomes effective (as set out above) will be deemed binding acceptance of the relevant modification to these Terms of Use. It remains Your responsibility to ensure that You are aware of the correct/current Terms of Use and that You are happy with them.

3. VERIFICATION AND MONEY LAUNDERING REQUIREMENTS

You warrant that You are eighteen (18) years of age or older, that the name and address You supply when opening Your Account are correct and that You are the owner of the sums which You will be depositing in Your Account . By agreeing to the Terms of Use You authorise us to undertake any such verification as we may require ourselves or may be required by third parties to confirm these facts (the "Checks").

Whilst we are undertaking the Checks, including but not limited to Checks on Your Age or Identity (some of which we are legally obliged to undertake) we may restrict you from withdrawing funds from Your Account and/or prevent access to certain products. If such restrictions cause You a problem please contact us on 08717 121110.

If we cannot undertake the Checks electronically we will have to contact You and ask You to provide further information to us directly.

If we are unable to confirm that You are aged eighteen (18) or over within seventy two (72) hours (or such other period as may from time to time be specified by the Gambling Commission) of Your Account being opened then we are required to suspend Your Account. If You are subsequently proven to have been under the age of eighteen at the time transactions were placed on your behalf Your Account will be closed, all transactions placed whilst you were underage will be made void and all related funds deposited will be returned, stakes for bets made will be returned to You and any winnings which You have accrued at such time will be forfeited. We will void any transactions entered into via the Centaur/Maxnet Websites with or by persons aged under eighteen (18).

Please note that it may be an offence for persons aged under eighteen (18) to make use of the Centaur/Maxnet Websites.

5. WITHDRAWALS AND DEPOSITS

If You wish to participate in managed account activity as identified on the Centaur/Maxnet Websites You agree to deposit monies into Your Managed Account. Such monies are then be used by You to undertake the recommended transactions. Further details of how to deposit and withdraw can be found in the relevant websites. If You need further help or information, please contact us via the address or telephone number provided in Section 4 above.

Any monies deposited with us in Your Account are held in a separate client account.

We may at any time set off any positive balance on Your Account against any amount owed by You to either Centaur Global or Maxnet Media Limited.

You are responsible for reporting Your winnings and losses, if such reporting is required by Your local law or tax or other authorities.

6. LEGAL USE OF CENTAUR/MAXNET WEBSITES

Access to or use of the Centaur/Maxnet Websites or any of the products offered via these Websites may not be legal for some or all residents of or persons in certain countries. We do not intend that these Websites should be used for betting, gaming or any other purposes by persons in countries in which such activities are illegal. The Centaur/Maxnet Websites do not constitute an offer, solicitation or invitation by us for the use of or subscription to betting, gaming or other services in any jurisdiction in which such activities are prohibited by law.

It is Your responsibility to determine the law that applies in the location in which You are present. You should ensure that You will be acting legally in Your jurisdiction in opening Your Account and/or using the Centaur/Maxnet Websites and You represent, warrant and agree that You will do so.

7. TERMINATION

You are entitled to close Your Account and terminate these Terms of Use instantly on giving notice to us in writing. A letter, e-mail or fax is deemed to represent sufficient written notice.

We are entitled to terminate these Terms of Use on written notice (or attempted notice) to You at the email address You provide to us when registering for Your Account. In the event of termination by us, we will provide notice of the termination to You by email and, other than where termination is made pursuant to paragraph 10 or paragraph 21, as soon as reasonably possible following a request by You we will refund the balance of Your Account using the same method of payment which you provided upon registration of Your Account, or such other accepted updated payment methods with which You have provided us subsequently.

Termination of this Agreement other than pursuant to paragraph 10 or paragraph 21 will not affect any outstanding bets, provided that such outstanding bets are valid and not in breach of these Terms of Use in any way.

8. ACCESSING AND USE OF OUR SITES

Under no circumstances should any user of any Centaur/Maxnet Website make any submission which is reasonably likely to be considered or is defamatory, abusive, obscene, unlawful, of a racist, sexist or other discriminatory nature, or which could cause offence. You must not use any abusive or aggressive language or images, swear, threaten, harass or abuse any other person, including other users.

You must not corrupt the Centaur/Maxnet Websites, flood any Centaur/Maxnet Websites with information so as to cause any Centaur/Maxnet Website not to function or use any features which may affect the function of any William Hill Website in any way for example (but not limited to) viruses, worms, logic bombs or similar. Any multiple submissions or "spam" are strictly prohibited. You must not interfere or tamper with, remove or otherwise alter in any way, any information in any form which is included on any Centaur/Maxnet Website.

9. BETTING AND GAMING TERMS

Terms used in betting and gaming are numerous. Should You be in any doubt as to the meaning of any word or phrase You should look up its meaning. If You are still in any doubt You should contact our customer services team and should not subscribe or deposit any monies with us until its meaning is understood to Your satisfaction. We cannot accept any responsibility if You subscribe to or place a deposit with us in circumstances where You do not understand any of the terms involved.

10. ALTERATION OF THE CENTAUR/MAXNET WEBSITES

We may, in our absolute discretion, alter or amend any product offered via the Centaur or Maxnet Websites at any time and may alter prices offered for the products offered via the Hill Websites. From time to time, we may restrict You from accessing some parts of the Centaur/Maxnet Websites.

11. ACCOUNT CLOSURE

You have the right to close Your Account at any time provided Your Account does not show a balance is due to us. You should indicate Your desire to close Your Account in writing via email, fax or letter to:

We reserve the right to suspend Your Account and any funds contained therein where You breach any provision of these Terms of Use.

Accounts which have remained inactive for a continuous period in excess of six (6) months may be terminated or suspended by us. In the event of such account terminaton this Agreement will be terminated automatically.
When You request closure of Your Account we will return your outstanding balance to you (where it is in credit).

13. IT FAILURE

Where unexpected system flaws, faults or errors occur in the software or hardware which we use to provide the Centaur/Maxnet Websites we will take immediate steps to remedy the problem.

We do not accept any liability whatsoever for IT failures which are caused by the equipment which You use to access the Websites or faults which relate to Your internet service provider.

14. ERRORS OR OMISSIONS

If an error is made by us or our employees and agents in the amount of winnings/returns that are paid to You in Your favour, such monies should be held by You on trust for us and should be immediately repaid to us when a demand for payment is made to You. If you have monies in Your Account we may reclaim these monies from Your Account without further recourse to you.

Neither we nor our employees or agents shall be liable for any loss including loss of winnings that results from any error by us or You. You will forfeit any winnings/losses that result from any such error.

15. EXCLUSION OF OUR LIABILITY

Your access to the Centaur/Maxnet Websites and use of the products offered via these Websites is at Your sole option, discretion and risk. We shall not be liable for any attempts by You to use the Centaur/Maxnet Websites by methods, means or ways not intended by us.

We will provide the Websites with reasonable skill and care and substantially as described in the Terms of Use. We do not make any other promises or warranties regarding the Websites or the products offered via the Websites.

We (including our parent, subsidiaries, affiliates, officers, directors, agents and employees) shall not be liable to You in contract, tort (including negligence) or otherwise for any business losses, including but not limited to loss of data, profits, revenue, business, opportunity, goodwill, reputation or business interruption or for any losses which are not currently foreseeable by us arising out of these Terms of Use or Your use of the Centaur/Maxnet Websites.

Nothing in these Terms of Use will operate so as to exclude any liability which we may have in respect of fraud, or death or personal injury caused by our negligence.

16. BREACH OF THE TERMS OF USE

You shall compensate us in full for any claims, liabilities, costs, expenses (including legal fees) and any other charges that may arise as a result of Your breach of the Terms of Use or any breach by You or by any other person using Your Account (whether or not authorised by You) of any laws of any jurisdiction which is applicable to You, or any Centaur/Maxnet Website.

Where You are in material breach of the Terms of Use, we reserve the right, but shall not be required, to; i) provide a warning to You for failure to comply; and/or ii) ban You from the Centaur/Maxnet Websites and terminate these Terms of Use, whether or not any prior warning has been given.

17. INTELLECTUAL PROPERTY RIGHTS

All website design, text, graphics, music, sound, photographs, video, the selection and arrangement thereof, software compilations, underlying source code, software and all other material contained within the Centaur/Maxnet Websites are subject to copyright and other proprietary rights which are either owned by us or used under licence from third party rights owners. To the extent that any material contained on the Centaur/Maxnet Websites may be downloaded or printed then such material may be downloaded to a single personal computer only and hard copy portions may be printed solely for Your own personal and non-commercial use.

Under no circumstances shall the use of the Centaur/Maxnet Websites grant to any user any interest in any intellectual property rights (for example copyright, know-how or trade marks) owned by us or by any third party whatsoever.

No rights whatsoever are granted to use or reproduce any trade marks or logos which appear on the Centaur/Maxnet Websites except as specifically permitted in accordance with the Terms of Use.

You must not, nor must You allow any other person to copy, store, publish, rent, licence, sell, distribute, alter, add to, delete, remove or tamper with the Centaur/Maxnet Websites or any part of them in any way or directly or indirectly disrupt or interfere (or attempt to disrupt or interfere) with or alter the Centaur/Maxnet Websites, other than in the course of viewing or using the Centaur/Maxnet Websites in accordance with the Terms of Use.

All intellectual property rights in the name "Centaur " and "Maxnet ", the logos, designs, trade marks and other distinctive brand features of Centaur/Maxnet and any content provided by Centaur or Maxnet for inclusion on the Centaur/Maxnet Websites vest in Centaur and/or Maxnet. You agree not to display or use such logos, designs, trade marks and other distinctive brand features in any manner without our prior written consent.

18. VIRUSES, HACKING AND OTHER OFFENCES

You must not misuse the Centaur/Maxnet Websites by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Centaur/Maxnet Websites , the servers on which the Centaur/Maxnet Websites are stored or any server, computer or database connected to the Centaur/Maxnet Websites. You must not attack the Centaur/Maxnet Websites via a denial-of-service attack or a distributed denial-of service attack.

By breaching this provision, You would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing Your identity to them. In the event of such a breach, Your right to use the Centaur/Maxnet Websites will cease immediately.

We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect Your computer equipment, computer programs, data or other proprietary material due to Your use of the Centaur/Maxnet Websites or to Your downloading of any material posted on such websites, or on any website linked to the Centaur/Maxnet Websites.

19. YOUR PERSONAL DATA

All information on Your Account is held securely by us remains confidential except where otherwise stated in the Terms of Use (including, for the avoidance of doubt, the Privacy Policy).

We are required by law (in particular by the Data Protection Act 1998 in the UK to comply with data protection requirements in the way in which we use any personal information collected from You in Your use of the Centaur/Maxnet Websites and/or the products offered via the Centaur/Maxnet Websites. We therefore take very seriously our obligations in relation to the way in which we use Your personal information.

When You use the Centaur/Maxnet Websites it may be necessary for us to collect certain information about You. 20. COOKIES

A cookie is a small file of text which is downloaded onto Your computer when You access the William Hill Websites and it allows us to recognise when You come back to our websites. We use cookies for the purpose of allowing us to understand who is accessing the William Hill Websites and helping us to gain a picture of use of the William Hill Websites as well as for operation of Your Account. If You object to cookies or want to delete any cookies that are already stored on Your computer, You are free to delete them from your computer.

21. COMPLAINTS AND NOTICES

If You wish to make a complaint regarding the Centaur/Maxnet Websites or any service which we provide please submit Your complaint in writing as soon as is reasonably practicable.

We may give notice to You at either the email or postal address You provide to us when registering/subscribing. Notice will be deemed received and properly served immediately twenty four (24) hours after an email is sent, or three (3) days after the date of posting of any letter. In proving the service of any notice, it will be sufficient to prove, in the case of a letter, that such letter was properly addressed, stamped and placed in the post and, in the case of an email, that such email was sent to the specified email address of the addressee.

In the event of any dispute, both You and Centaur/Maxnet agree that the records of the server shall act as the final authority in determining the outcome of any claim.

22. INTERPRETATION

The original text of the Terms of Use are in English and any interpretation of them will be based on the original English text. If the Terms of Use or any documents or notices related to them are translated into any other language, the original English version will prevail.

23. TRANSFER OF RIGHTS AND OBLIGATIONS

We reserve the right to transfer, assign, sublicense or pledge these Terms of Use, in whole or in part, to any person (but without Your consent) without notice, provided that any such assignment will be on the same terms or terms that are no less advantageous to You. You may not assign, sublicense or otherwise transfer in any manner whatsoever any of Your rights or obligations under these Terms of Use.

24. EVENTS OUTSIDE OUR CONTROL

We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a Contract that is caused by events outside our reasonable control (Force Majeure Event).

Our performance is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period. We will use our reasonable endeavours to bring the Force Majeure Event to a close or to find a solution by which our obligations may be performed despite the Force Majeure Event.

25. WAIVER

If we fail to insist upon strict performance of any of Your obligations or if we fail to exercise any of the rights or remedies to which we are entitled, this shall not constitute a waiver of such rights or remedies and shall not relieve You from compliance with such obligations.

A waiver by us of any default shall not constitute a waiver of any subsequent default.

No waiver by us of any of the provisions of the Terms of Use shall be effective unless it is expressly stated to be a waiver and is communicated to You in writing in accordance with paragraph 26 above.


26. SEVERABILITY

If any of the Terms of Use are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law.

In such cases, the part deemed invalid or unenforceable shall be amended in a manner consistent with the applicable law to reflect, as closely as possible, William Hill's original intent.

27. ENTIRE AGREEMENT

The Terms of Use and any document expressly referred to in them represent the entire agreement between You and us and supersede any prior agreement, understanding or arrangement between You and us, whether oral or in writing.

We each acknowledge that neither of us has relied on any representation, undertaking or promise given by the other or be implied from anything said or written in negotiations between us except as expressly stated in the Terms of Use.
Neither party shall have any remedy in respect of any untrue statement made by the other, whether orally or in writing, prior to the date of the contract (unless such untrue statement was made fraudulently) and the other party’s only remedy shall be for breach of contract as provided in these Terms of Use.

28. LAW AND JURISDICTION

The courts of England and Wales shall have non-exclusive jurisdiction over any disputes arising out of the Terms of Use.
